Penske Automotive agrees to go private; commercial-truck business remains part of group

Penske Automotive Group announced a merger agreement with an entity owned by Penske Corporation and Mitsui. PAG operates commercial-truck dealerships and holds 28.9% of Penske Transportation Solutions.

Agreement signed, closing still pending

Closing is expected in the first quarter of 2027, subject to regulatory and shareholder approvals and other conditions. Penske would own approximately 64% and Mitsui 36% after completion. The announcement does not establish changes to fleet customers' dealership, rental or maintenance arrangements.

Understanding the update

This is an announced transaction, not a completed acquisition or a new ownership announcement for all Penske-branded businesses.

What it means for drivers and carriers

Commercial-fleet customers should monitor official closing and service notices; existing contracts should not be treated as changed solely because of this agreement.

Questions to consider

  • Has the dealer or service provider issued any notice affecting the fleet's contract?
